Welcome to Protask. By accessing or using our task management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Protask Inc. ("Protask," "we," "our," or "us"). We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Account Registration

To use Protask, you must:

• Be at least 13 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any information to keep it accurate and current
• Accept responsibility for all activities under your account

You may not use another person's account without permission. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.

4. Subscription and Payment

4.1 Plans and Pricing

Protask offers various subscription plans with different features and pricing. Current pricing is available on our website. We reserve the right to change our pricing with 30 days' notice.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is due upon purchase and on each renewal date
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method automatically

4.3 Free Trial

We may offer a free trial period. At the end of the trial, you will be automatically charged unless you cancel before the trial ends. No credit card is required to start a trial.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until then.

5. Intellectual Property

5.1 Our Rights

The Service, including its design, features, and content (excluding your data), is owned by Protask and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

5.2 Your Rights

You retain all rights to the content you create using Protask. By using the Service, you grant us a license to:

• Host, store, and backup your content
• Display your content as necessary to provide the Service
• Share your content with team members you designate

This license ends when you delete your content or account (subject to backup retention periods).

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We take data security seriously and implement industry-standard measures to protect your information.

• We will not sell your personal data
• We use encryption for data transmission and storage
• You can export your data at any time
• You can delete your account and data

7. Third-Party Services

Protask integrates with third-party services (e.g., Google Calendar, Gmail). When you connect these services:

• You authorize us to access data from those services on your behalf
• Those services' terms and privacy policies also apply
• We are not responsible for third-party service failures

8. Service Availability

We strive to provide reliable service but cannot guarantee 100% uptime. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

9. Disclaimers and Limitations

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results from the Service will meet your requirements

10. Limitation of Liability

Our total liability to you for all claims arising from the Service is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you haven't paid us.

11. Indemnification

You agree to indemnify and hold harmless Protask and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data

12. Termination

We may suspend or terminate your account if:

• You violate these Terms
• Your account is inactive for an extended period
• Required by law
• Providing the Service to you is no longer commercially viable

Upon termination, your right to use the Service ceases immediately. We will provide you an opportunity to export your data before termination, subject to legal obligations.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through:

1. Good faith negotiation between the parties
2. Binding arbitration if negotiation fails
3. Courts in San Francisco County, California (for non-arbitrable disputes)

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Protask
• Waiver: Failure to enforce any provision does not constitute a waiver
• Severability: If any provision is found invalid, the remaining provisions continue
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays due to circumstances beyond our control

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance. If you don't agree to the changes, you must stop using the Service and cancel your account.
